1. Acceptance of Terms

By accessing or using the website located at gvspaint.lat (the Site) or engaging with any services provided by GVS PAINT INC, a corporation organized under the laws of the State of California with its principal place of business at 500 N State College Blvd, Suite 1100, Orange, CA 92868-1625, United States (the Company, we, us, or our), you (the User, you, or your) agree to be bound by these Terms of Service (the Terms).

If you do not agree to all of these Terms, you must not access the Site or use any of our services. These Terms constitute a legally binding agreement between you and GVS PAINT INC. Your continued use of the Site following any modifications to these Terms constitutes acceptance of those changes.

You represent and warrant that you are at least 18 years of age, or the age of majority in your jurisdiction, and that you have the legal capacity to enter into these Terms. If you are using the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

GVS PAINT INC provides computer systems design and related services, including but not limited to:

• Enterprise systems architecture planning and design;
• Cloud infrastructure engineering and DevOps services;
• Custom software development and application engineering;
• Cybersecurity assessment, hardening, and compliance consulting;
• Technology strategy advisory and digital transformation consulting.

The specific scope, deliverables, timeline, and fees for any professional engagement shall be set forth in a separate written agreement, statement of work, or service order executed by both parties (a Service Agreement). In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall govern with respect to the specific engagement described therein.

We reserve the right to modify, suspend, or discontinue any aspect of the Site or our services at any time without prior notice. We may also impose limits on certain features or restrict access to parts or all of the Site.

3. Intellectual Property Rights

3.1 Our Intellectual Property

All content, materials, and features available on the Site, including but not limited to text, graphics, logos, button icons, images, audio clips, video, data compilations, software, and the design, selection, and arrangement thereof (collectively, the Content), is owned by or licensed to GVS PAINT INC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The GVS PAINT name, the GP monogram logo, the domain name gvspaint.lat, and all related names, logos, product and service names, designs, and slogans are trademarks of GVS PAINT INC or its affiliates. You may not use such marks without our prior written permission.

3.2 License to Use the Site

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes, subject to these Terms. This license does not include:

• Any resale or commercial use of the Site or its Content;
• Any derivative use of the Site or its Content;
• Any downloading or copying of account information for the benefit of another party;
• Any use of data mining, robots, or similar data gathering or extraction tools;
• Any use of the Site or Content other than for its intended purpose.

3.3 Work Product

Unless otherwise expressly agreed in a Service Agreement, all deliverables, code, documentation, designs, specifications, and other work product created by GVS PAINT INC in the course of providing services (Work Product) shall remain our intellectual property until full payment has been received. Upon full payment, ownership of Work Product created specifically for you under a Service Agreement shall transfer to you as specified in that agreement, subject to our retained rights in any pre-existing materials, tools, frameworks, and methodologies used in creating the Work Product.

3.4 User Content

If you submit, post, or transmit any content, information, or materials to us through the Site, including but not limited to contact form submissions and project inquiries (User Content), you grant GVS PAINT INC a worldwide, non-exclusive, royalty-free license to use, reproduce, and process such User Content solely for the purpose of responding to your inquiry and providing the requested services. You represent that you own or have the necessary rights to any User Content you submit.

4. User Obligations and Acceptable Use

When using the Site, you agree to comply with all applicable laws and regulations and to refrain from the following prohibited activities:

• Using the Site in any way that violates any applicable federal, state, local, or international law or regulation;
• Transmitting or procuring the sending of any advertising or promotional material without our prior written consent, including spam, chain letters, or junk mail;
• Impersonating GVS PAINT INC, our employees, another user, or any other person or entity, including by using email addresses or contact details associated with any of the foregoing;
• Engaging in any conduct that restricts or inhibits any other user from using or enjoying the Site, or that may harm GVS PAINT INC or users of the Site;
• Introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
• Attempting to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site;
• Attacking the Site via a denial-of-service attack or a distributed denial-of-service attack;
• Using any automated means, including robots, spiders, scrapers, or scripts, to access, monitor, or copy any part of the Site without our express written consent;
• Attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code of any software associated with the Site.

We reserve the right to terminate or suspend your access to the Site immediately, without prior notice or liability, for any breach of these Terms, including the acceptable use provisions above.

5. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall GVS PAINT INC, its officers, directors, employees, agents, contractors, licensors, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to:

• Your use or inability to use the Site or our services;
• Any conduct or content of any third party on the Site;
• Any content obtained from the Site;
• Unauthorized access, use, or alteration of your transmissions or content;
• Any errors or omissions in any Content or for any loss or damage incurred as a result of the use of any Content posted, transmitted, or otherwise made available through the Site.

Our total aggregate liability to you for any claims arising out of or relating to these Terms or your use of the Site shall not exceed the greater of (a) the amounts paid by you to GVS PAINT INC in the twelve months preceding the claim, or (b) one hundred United States dollars ($100.00).

The limitations and exclusions in this section apply regardless of the theory of liability, whether based in contract, tort (including negligence), strict liability, warranty, statute, or otherwise, and even if GVS PAINT INC has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of these limitations may not apply to you.

6. Disclaimer of Warranties

The Site and all Content, materials, information, products, and services included on or otherwise made available through the Site are provided on an as is and as available basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by law, GVS PAINT INC expressly disclaims all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
• Warranties that the Site will be uninterrupted, timely, secure, or error-free;
• Warranties that the results obtained from using the Site will be accurate, reliable, or meet your expectations;
• Warranties that any errors or defects in the Site will be corrected.

We do not warrant that the Site, its servers, or email sent from us are free of viruses or other harmful components. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output.

7. Indemnification

You agree to defend, indemnify, and hold harmless GVS PAINT INC, its officers, directors, employees, agents, contractors, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses, including reasonable attorneys fees, arising from:

• Your use of and access to the Site;
• Your violation of any term of these Terms;
• Your violation of any third-party right, including any copyright, trademark, trade secret, or privacy right;
• Any claim that your User Content caused damage to a third party.

This indemnification obligation will survive the termination of these Terms and your use of the Site.

8. Termination

These Terms are effective unless and until terminated by GVS PAINT INC. We may terminate these Terms, or suspend or terminate your access to all or part of the Site, at any time, with or without cause, with or without notice, effective immediately.

You may terminate these Terms by discontinuing your use of the Site. Provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property rights, limitation of liability, disclaimer of warranties, indemnification, and governing law — shall survive any termination.

9. Third-Party Links and Services

The Site may contain links to third-party websites or services that are not owned or controlled by GVS PAINT INC. We assume no responsibility for the content, terms, privacy policies, or practices of any third-party websites. You acknowledge and agree that GVS PAINT INC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any third-party website or service. We advise you to read the terms and conditions and privacy policies of any third-party website you visit.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Orange County, California, and you hereby consent to the personal jurisdiction and venue of such courts.

Before initiating any formal legal proceeding, you agree to first contact us at help@gvspaint.lat and attempt to resolve the dispute informally. If the dispute cannot be resolved within thirty (30) days of such notice, either party may proceed with formal legal action.

The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from application to these Terms.

11. Force Majeure

GVS PAINT INC shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government orders or restrictions, epidemics or pandemics, labor disputes, telecommunications failures, power outages, or third-party service interruptions.

12. Severability and Waiver

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

13. Entire Agreement

These Terms, together with our Privacy Policy and any Service Agreement executed between you and GVS PAINT INC, constitute the entire agreement between you and us regarding the Site and our services, superseding any prior agreements, communications, or understandings, whether written or oral, with respect to the subject matter hereof.

14. Changes to These Terms

We reserve the right to modify or replace these Terms at any time and at our sole discretion. We will post the updated Terms on this page and update the Last updated date. It is your responsibility to review these Terms periodically for changes. Material changes will be communicated via a prominent notice on our website. Your continued use of the Site after any modification constitutes your acceptance of the revised Terms.
